Terms of Service & Agreements

Section 01

Acceptance of Terms

By accessing, browsing, or utilizing custom software development services, APIs, web applications, or digital products provided by our studio (collectively, the "Services"), you acknowledge that you have read, understood, and agreed to be bound by these Terms of Service ("Terms").

If you are accepting these terms on behalf of an enterprise, company, or organization, you confirm that you possess full legal authority to bind that entity to these provisions.

Section 02

Scope of Engineering Services

We design and build tailor-made software solutions including full-stack React and Next.js applications, Node.js backend systems, microservices, headless e-commerce architectures, and technical infrastructure refactoring.

Specific project requirements, technical specifications, deliverables, milestones, and timelines are governed by individual Statements of Work (SOW) or formal project estimates issued alongside these Terms.

Section 03

Code & Intellectual Property Ownership

3.1 Custom Source Code Transfer

Upon full payment of all invoice balances for a designated milestone, 100% of custom source code, repositories, UI designs, and project documentation created specifically for the project transfer completely to the client.

3.2 Reusable Core Frameworks

We retain rights to underlying starter boilerplates, internal scripts, and open-source utility tools. Clients receive a perpetual, non-exclusive, worldwide, royalty-free license to deploy and modify these modules as part of their software system.

Section 04

Client Responsibilities

Successful project delivery relies on collaborative communication. Clients agree to provide timely technical inputs, access credentials (e.g., repository access, hosting providers, third-party API keys), and feedback during review stages.

Delays in providing required feedback or access credentials exceeding seven (7) business days may adjust milestone timelines accordingly.

Section 05

Billing & Invoicing

Services are billed according to the milestone schedule outlined in your SOW. Payment terms are net-14 days from invoice issue date unless otherwise agreed in writing.

  • Invoices unpaid past 30 days may result in a temporary pause of active development sprints.
  • All completed milestone payments are non-refundable once production deployment sign-off is given.
Section 06

Warranty & SLA Support

All custom development includes a thirty (30) day post-launch warranty period. During this window, any functional bugs or regressions inconsistent with agreed-upon specifications will be remediated at no extra charge.

Ongoing infrastructure monitoring, security updates, and SLA support beyond the initial 30 days require an active maintenance agreement.

Section 07

Limitation of Liability

OUR MAXIMUM AGGREGATE LIABILITY ARISING FROM OR RELATED TO YOUR USE OF OUR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE SPECIFIC DELIVERABLE GIVING RISE TO THE CLAIM. WE ARE NOT LIABLE FOR THIRD-PARTY GATEWAY OUTAGES, HOSTING PROVIDER DOWNTIME, OR UNAUTHORIZED SYSTEM ACCESS RESULTING FROM CLIENT CREDENTIAL COMPROMISE.
Section 08

Confidentiality & Non-Disclosure

Both parties agree that all proprietary documentation, codebase architectures, trade secrets, and customer data shared during the project engagement remain strictly confidential and will not be disclosed to third parties without prior written consent.

Section 09

Termination

Either party may terminate a project agreement upon fourteen (14) days written notice. Upon termination, the client is responsible for settling all work completed up to the effective termination date, after which all completed work-in-progress code will be transferred.
